Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the WellStrata platform, websites, applications, APIs, and related services (collectively, the “Service”), operated by Birova, Inc. (“WellStrata,” “we,” “us,” or “our”).

By creating an account, accessing, or using the Service, you agree to be bound by these Terms on behalf of yourself and the organization you represent. If you do not agree, do not use the Service.

1. The Service

WellStrata provides tools to explore, organize, analyze, and export oil and gas well information — including a map-based Wells Explorer, well lists, projects, production and completion analytics, type curves, benchmarking, and AI-assisted query features. We may add, modify, or discontinue features at any time.

2. Accounts and organizations

Access requires an account associated with an organization. The organization is responsible for all activity under its accounts, for the acts and omissions of its members, and for assigning appropriate roles (such as owner, admin, editor, or viewer). You must provide accurate registration information, keep your credentials confidential, and promptly notify us of any unauthorized use.

3. Subscriptions, plans, and payment

The Service is offered under tiered plans that may impose usage limits, including rate limits and export caps. Paid plans are billed in advance through our third-party payment processor and renew automatically for successive periods unless cancelled before renewal. You authorize us and our payment processor to charge your payment method for applicable fees and taxes. Except where required by law or expressly stated, fees are non-refundable.

4. License to use the Service

Subject to these Terms and your plan, WellStrata grants your organization a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its internal business purposes during your subscription.

5. Data

Source data. Well, production, completion, and related data is derived from public regulatory agencies (including, without limitation, the Texas Railroad Commission, Oklahoma Corporation Commission, North Dakota Department of Mineral Resources, New Mexico Oil Conservation Division, Colorado Energy & Carbon Management Commission, Wyoming Oil & Gas Conservation Commission, and FracFocus) and other third-party sources. Such data is licensed to you for use within the Service and is not sold to you.

Your content. Well lists, projects, notes, saved screens, and similar materials you create (“Your Content”) remain yours. You grant WellStrata a worldwide, non-exclusive license to host, process, display, and transmit Your Content solely to operate and improve the Service and to make it available to members of your organization consistent with your sharing settings.

6. Acceptable use

You agree not to, and not to permit anyone to:

  • resell, sublicense, redistribute, or make the Service or bulk data available to any third party outside your organization, except for exports used for your organization’s internal purposes;
  • scrape, crawl, or use automated means to extract data except through features and exports we provide, or exceed, evade, or interfere with rate limits or export caps;
  • reverse engineer, decompile, or attempt to derive source code, or copy the look and feel of the Service;
  • upload unlawful, infringing, or malicious content, or use the Service to violate any law or third-party right;
  • interfere with or disrupt the integrity or performance of the Service or attempt to gain unauthorized access to it.

7. Exports

The Service lets you export data subject to your plan’s limits. Exported data remains subject to these Terms and any applicable third-party or regulatory terms, and may not be redistributed or resold outside your organization.

8. Intellectual property

The Service, including its software, design, compilations, and the WellStrata name and logos, is owned by WellStrata and its licensors and is protected by intellectual property laws. Except for the rights expressly granted here, no rights are transferred to you.

9. Third-party services

The Service integrates third-party services (for example, cloud hosting, payment processing, mapping, email, and AI providers). Your use of those integrations may be subject to the third parties’ terms, and we are not responsible for third-party services.

10. AI features

AI-assisted features generate outputs using automated models and third-party AI providers. Outputs may be inaccurate, incomplete, or outdated, and do not constitute professional, engineering, legal, financial, or investment advice. You are responsible for independently verifying any output before relying on it.

11. Disclaimers

THE SERVICE AND ALL DATA ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Data is aggregated from public and third-party sources that may contain errors, omissions, or delays. WellStrata does not warrant the accuracy, completeness, timeliness, or fitness of any data, and nothing in the Service constitutes professional advice or a recommendation regarding any well, property, transaction, or investment.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WELLSTRATA AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You will defend, indemnify, and hold harmless WellStrata from and against claims, damages, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, Your Content, or your breach of these Terms.

14. Term, suspension, and termination

These Terms apply while you use the Service. We may suspend or terminate access for breach, non-payment, or to protect the Service or other users. You may stop using the Service at any time. Upon termination, your license ends; provisions that by their nature should survive (including data, intellectual property, disclaimers, liability limits, and indemnity) survive.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by other reasonable means, and continued use after changes take effect constitutes acceptance.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in the State of Delaware for disputes not subject to other agreed dispute-resolution procedures.
